- NON-SINGLEOPS PROVIDERS
4.1. Acquisition of Non-SingleOps Products and Services. SingleOps or third parties may make available third-party products or services, including, Non-SingleOps Applications and implementation and other consulting services. Any acquisition by Customer of such Non-SingleOps products or services, and any exchange of data between Customer and any Non-SingleOps provider, is solely between Customer and the applicable Non-SingleOps provider. We do not warrant or support, and we shall have no liability in connection with, Non-SingleOps Applications or other Non-SingleOps products or services, whether or not they are designated by SingleOps as “certified” or otherwise, except as specified in an Order Form.
4.2. Integration with Non-SingleOps Applications. The Services may contain features designed to interoperate with Non-SingleOps Applications. To use such features, Customer may be required to obtain access to Non-SingleOps Applications from their providers and may be required to grant SingleOps access to Customer account(s) on the Non-SingleOps Applications. If the provider of a Non-SingleOps Application ceases to make the Non-SingleOps Application available for interoperation with the corresponding Service features on reasonable terms, we may cease providing those Service features without entitling Customer to any refund, credit, or other compensation.
4.3. Non-SingleOps Applications and Customer Data. If Customer installs or enables a Non-SingleOps Application for use with a Service, Customer grants SingleOps permission to allow the provider of that Non-SingleOps Application to access Customer Data as required for the interoperation of that Non-SingleOps Application with the Service. We are not responsible for any disclosure, modification or deletion of Customer Data resulting from access by a Non-SingleOps Application.
4.4. Removal of Non-SingleOps Applications. If we receive information that a Non-SingleOps Application hosted on a Service by Customer may violate applicable law or third-party rights, we may so notify Customer and in such event, Customer will promptly disable such Non-SingleOps Application or modify the Non-SingleOps Application to resolve the potential violation. If Customer does not take required action in accordance with the above, we may disable the applicable Service and/or Non-SingleOps Application until the potential violation is resolved.
- FEES AND PAYMENT FOR SERVICES
5.1. Fees. Customer will pay all fees specified in Order Forms. All payments made under such Order Forms and these Terms of Use shall be in United States Dollars. Except as otherwise agreed by the parties in writing, (i) fees are paid in advance and based on subscriptions of Services, not actual usage, (ii) payment obligations are non-cancelable and fees paid are non-refundable, and (iii) licensed quantities cannot be decreased below the minimum amount as defined in the Order Form. Subscriptions for SingleOps’s Services are auto-renewing on a recurring basis. SingleOps reserves the right to change the fees, charges, and tiers applicable to Customer, and to institute new fees, charges, and tiers at the end of the initial subscription term or then current renewal term. Customer agrees to an annual increase in fees for subscription services up to the greater of 5% or the most recently available year-over-year increase in the applicable Consumer Price Index. If Customer does not agree to the price increase, then Customer may terminate its subscription for such Services pursuant to Section 11.2. If Customer wishes to add additional services (the “Add-On Services”) to a Customer account during a contract term, the execution of a separate Order Form is required. The annual fee for such Add-On Services will be prorated through the end of the then-current subscription term.
5.2. Invoicing and Payment. Customer will provide SingleOps with valid and updated payment information. If Customer provides credit card information to us, Customer authorizes SingleOps to charge such credit card for all Subscription Services listed in the Order Form for the initial subscription term and any renewal subscription term(s) as set forth in Section 11.2 (Term of Subscriptions). Such charges shall be made in advance, either annually or in accordance with any different billing frequency stated in the applicable Order Form. If the Order Form specifies that payment will be by a method other than a credit card, we will invoice you in advance and otherwise in accordance with the relevant Order Form. Unless otherwise stated in the Order Form, invoiced charges are due net 10 days from the invoice date. You are responsible for providing complete and accurate billing and contact information to us and notifying us of any changes to such information.
5.3. Overdue Charges. If any invoiced amount is not received by us by the due date, then without limiting our rights or remedies, (a) those charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, and/or (b) we may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 5.2 (Invoicing and Payment).
5.4. Suspension of Service and Acceleration. If any amount owing by Customer under this or any other agreement for our services is ten (10) or more days overdue, we may, without limiting our other rights and remedies, accelerate your unpaid fee obligations so that all such obligations become immediately due and payable, and suspend our services to you until such amounts are paid in full.
5.5. Payment Disputes. We will not exercise our rights under Section 5.3 (Overdue Charges) or 5.4 (Suspension of Service and Acceleration) above if you are disputing the applicable charges reasonably and in good faith and are cooperating diligently to resolve the dispute.
5.6. Taxes. Our fees do not include any taxes, levies, duties, or similar governmental assessments of any nature, including value-added, sales, use or withholding taxes, assessable by any jurisdiction whatsoever (collectively, “Taxes”). You are responsible for paying all Taxes associated with your license and subscription hereunder. If we have the legal obligation to pay or collect Taxes for which you are responsible under this Section 5.6, we will invoice you and you will pay that amount unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority. For clarity, we are solely responsible for taxes assessable against us based on our income, property, and employees.
5.7. Future Functionality. You agree that your obligation to pay the fees for Services is not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by us regarding future functionality or features.
- PROPRIETARY RIGHTS AND LICENSES
6.1. Reservation of Rights. Subject to the limited rights expressly granted hereunder, we and our licensors reserve all right, title and interest in and to the Services, including all related intellectual property rights (collectively, with the Submissions (defined below), the “Rights”). To the extent that any such Rights are not deemed owned by SingleOps pursuant to the prior sentence, Customer hereby irrevocably assigns and transfers all such Rights to SingleOps.
6.2. License by You to SingleOps. Customer hereby grants SingleOps a worldwide, limited-term license to host, copy, transmit and display Customer Data, and any Non-SingleOps Applications and program code created by or for Customer using a Service, as necessary for us to provide the Services in accordance with these Terms of Use. Customer also hereby grants to SingleOps a non-exclusive, worldwide, royalty-free, fully paid-up, perpetual, and irrevocable license to copy, anonymize, de-identify, aggregate, process and create derivative works of Customer Data for the purpose of deriving Anonymous Data. “Anonymous Data” means anonymous statistical and usage data, and data related to the functionality of the Services, provided such data cannot be used to identify Customer or its Users. SingleOps may use Anonymous Data for any and all purposes, including combining or incorporating the Anonymous Data with or into other data and information, using the Anonymous Data to create improved and new success vectors, models, products, and services and generating statistics for marketing purposes.
Subject to the limited licenses granted herein, we acquire no right, title or interest from you or your licensors under these Terms of Use in or to Customer Data of any Non-SingleOps Application or program code.
6.3. Submissions. SingleOps shall own all right, title and interest, including all related intellectual property rights, in and to any and all suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by Customer or any other party relating to the Services (collectively, “Submissions”).
You further acknowledge and agree that any Submission may be shared with others on other sites and platforms and is submitted by you in compliance with these Terms of Use.
You may not create, post, store, or share any Submissions that violate these Terms of Use or for which you do not have all the rights necessary to grant us the license described above. You represent and warrant that your Submissions, and our use of such content as permitted by these Terms of Use, will not violate any rights of, or cause injury to, any person or entity. Notwithstanding the generality of the foregoing, you consent, for yourself and on behalf of any other person whose information or likeness you submit to SingleOps, to the use by SingleOps of the information and that it is submitted in compliance with all applicable laws. You are responsible for any Submission you provide and for any consequences arising therefrom. Although we have no obligation to screen, edit or monitor Submissions, we may delete or remove Submissions at any time and for any reason with or without notice.
SingleOps may provide bulletin boards, blogs, or chat rooms on the Services. SingleOps is not responsible for the content of any user-submitted content. Although we have no obligation to screen, edit or monitor any user-submitted content, we may do so and delete or remove user-submitted content at any time and for any reason with or without notice.
- CONFIDENTIALITY
7.1. Definition of Confidential Information. “Confidential Information” means all information disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer Confidential Information includes Customer Data; SingleOps Confidential Information includes the Services and these Terms of Use and all Order Forms (including pricing); and Confidential Information of each party includes business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by such party. However, Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party as demonstrated by reasonable documentary evidence.
7.2. Protection of Confidential Information. The Receiving Party will use the same degree of care that it uses to protect the confidentiality of its own Confidential Information of like kind (but not less than reasonable care) (i) not to use any Confidential Information of the Disclosing Party for any purpose outside the use of the Services, and (ii) except as otherwise authorized by the Disclosing Party in writing, to limit access to Confidential Information of the Disclosing Party to those of its and its Affiliates’ employees and contractors who need that access for purposes consistent with the Services and these Terms of Use and who have signed confidentiality agreements with the Receiving Party containing protections no less stringent than those herein. Customer will not disclose these Terms of Use or any Order Form to any third party other than its Affiliates, legal counsel and accountants without SingleOps’s prior written consent, provided that a party that makes any such disclosure to its Affiliate, legal counsel or accountants will remain responsible for such Affiliate’s, legal counsel’s or accountant’s compliance with this Section 7.2.
7.3. Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Information.
- REPRESENTATIONS, WARRANTIES AND DISCLAIMERS
8.1. Representations. Each party represents that it validly agrees to be bound by these Terms of Use and has the legal power to do so.
8.2. SingleOps Warranties. These Terms of Use, the Order Forms, and the Documentation describe in all material respects the applicable administrative, physical, and technical safeguards for protection of the security, confidentiality, and integrity of Customer Data. We warrant that (a) we will not materially decrease the overall security of the Services during a subscription term, (b) the Services will perform materially in accordance with the applicable Documentation, and (c) subject to Section 4.2 (Integration with Non-SingleOps Applications) and 4.4 (Removal of Non-SingleOps Applications), we will not materially decrease the functionality of the Services during a subscription term. For any breach of an above warranty, your exclusive remedies are those described in Section 11.3 (Termination for Cause).
8.3. Customer Warranties. Customer warrants that (a) Customer will not introduce into the Services or our systems any Malicious Code; and (b) Customer owns or otherwise has and will have the necessary rights and consents in and relating to all Customer Data that Customer provides to SingleOps or submits to the Services.
8.4. Disclaimers. THE SERVICES AND ALL TOOLS AND CONTENT OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS, AS AVAILABLE.” BETA SERVICES ARE PROVIDED “AS IS,” EXCLUSIVE OF ANY WARRANTY WHATSOEVER. EXCEPT AS EXPRESSLY PROVIDED HEREIN, NEITHER PARTY MAKES ANY OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND EACH PARTY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, WE DISCLAIM ALL LIABILITY AND INDEMNIFICATION OBLIGATIONS FOR ANY HARM OR DAMAGES CAUSED BY ANY THIRD-PARTY HOSTING PROVIDERS.
NOTWITHSTANDING THE FOREGOING, THIS SECTION DOES NOT LIMIT ANY EXPRESS, WRITTEN PRODUCT WARRANTY OR RELATED DISCLAIMERS THAT ARE PROVIDED BY SINGLEOPS OR ITS SUPPLIERS WITH RESPECT TO A PHYSICAL PRODUCT SOLD BY SINGLEOPS TO YOU, OR ANY WARRANTY ON A PHYSICAL PRODUCT TO THE EXTENT REQUIRED BY APPLICABLE LAW.
- MUTUAL INDEMNIFICATION AND EXCLUSIVE REMEDIES
9.1. Indemnification by SingleOps. We will defend Customer against any claim, demand, suit or proceeding made or brought against you by a third party alleging that the use of a Service in accordance with these Terms of Use infringes or misappropriates such third party’s intellectual property rights (a “Claim Against You”), and will indemnify you from any damages, attorney fees and costs finally awarded against you as a result of, or for amounts paid by you under a court-approved settlement of, a Claim Against You, provided you (a) promptly give us written notice of the Claim Against You, (b) give us sole control of the defense and settlement of the Claim Against You (except that we may not settle any Claim Against You without your consent, not to be unreasonably withheld, unless it unconditionally releases you of all liability), and (c) give us all reasonable assistance, at our expense. If we receive information about an infringement or misappropriation claim related to a Service, we may in our discretion and at no cost to you (i) modify the Service so that it no longer infringes or misappropriates, without breaching our warranties under Section 8.2 (SingleOps Warranties), (ii) obtain a license for your continued use of that Service in accordance with these Terms of Use, or (iii) terminate your subscriptions for that Service upon 30 days’ written notice and refund you any prepaid fees covering the remainder of the term of the terminated subscriptions. The above defense and indemnification obligations do not apply to the extent a Claim Against You arises from a Non-SingleOps Application, Customer Data, or your breach of these Terms of Use, from any modifications or changes made by Customer, or from any combination with materials, products or services not provided by SingleOps.
9.2. Indemnification by You. Customer will defend SingleOps and its subsidiaries, Affiliates, and each of its and their respective employees, directors, officers, shareholders, agents, vendors, licensors, contractors, successors and assigns (collectively, the “SingleOps Parties”) against any claim, demand, suit or proceeding made or brought against a SingleOps Party by a third party arising from or relating to (a) your access to or use of the Services, (b) your violation of these Terms of Use or any applicable law or regulation, (c) any disputes between you and any third party, and (d) your violation of any rights of any third party, including, but not limited to, the collection of the Customer Data and the provision of Customer Data to SingleOps which is or alleged to be in violation of any Customer privacy policy or applicable laws and regulations or alleging that Customer Data infringes or misappropriates such third party’s intellectual property rights (a “Claim Against Us”), and will indemnify the SingleOps Parties from any damages, attorney fees and costs finally awarded against the SingleOps Parties as a result of, or for any amounts paid by the SingleOps Parties under a court-approved settlement of, a Claim Against Us, provided we (i) promptly give you written notice of the Claim Against Us, (ii) give you sole control of the defense and settlement of the Claim Against Us (except that you may not settle any Claim Against Us without our consent, not to be unreasonably withheld, unless it unconditionally releases the SingleOps Parties of all liability), and (iii) give you all reasonable assistance, at your expense.
9.3. Exclusive Remedy. This Section 9 states the indemnifying party’s sole liability to, and the indemnified party’s exclusive remedy against, the other party for any type of claim described in this Section 9.
- LIMITATION OF LIABILITY
10.1 Limitation of Liability. EXCEPT AS OTHERWISE REQUIRED BY APPLICABLE LAW, IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS OF USE, ANY PARTY IS FOUND TO BE LIABLE TO THE OTHER PARTY FOR ANY DAMAGES OR LOSSES WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED TO THESE TERMS OF USE OR YOUR USE OF THE SERVICES, EITHER PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OF USE, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE AMOUNT PAID BY CUSTOMER HEREUNDER IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE ABOVE LIMITATIONS WILL APPLY WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY; HOWEVER, THE ABOVE LIMITATIONS WILL NOT LIMIT CUSTOMER’S PAYMENT OBLIGATIONS UNDER SECTION 5 (FEES AND PAYMENT FOR SERVICES). BY CLICKING “I ACCEPT”, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED. ACCORDINGLY, YOU AGREE TO WAIVE THE BENEFIT OF ANY LAW, INCLUDING, TO THE EXTENT APPLICABLE, CALIFORNIA CIVIL CODE SECTION 1542, THAT OTHERWISE MIGHT LIMIT YOUR WAIVER OF SUCH CLAIMS.
10.2. Exclusion of Consequential and Related Damages. IN NO EVENT AND UNDER NO LEGAL THEORY, WHETHER TORT (INCLUDING NEGLIGENCE), CONTRACT OR OTHERWISE, WILL EITHER PARTY HAVE ANY LIABILITY TO THE OTHER PARTY FOR ANY LOST PROFITS, LOST REVENUES OR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, COVER OR PUNITIVE DAMAGES, WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING DISCLAIMER WILL NOT APPLY TO THE EXTENT PROHIBITED BY LAW.
- TERM AND TERMINATION
11.1. Term of Subscriptions. The term of each subscription shall be as specified in the applicable Order Form; provided, however, that in no event will a subscription term be shorter than thirty (30) days, and Customer shall be responsible for fees for such 30-day period regardless of whether Customer utilizes the Services during such period. Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless Customer gives SingleOps written notice of non-renewal at least sixty (60) days before the end of the relevant subscription term; provided, however, upon SingleOps’s receipt of a non-renewal notice from Customer, SingleOps may terminate Customer’s subscription at the end of the then-current subscription term during which SingleOps receives Customer’s termination notice so as to prevent Customer from being charged for a new renewal period. SingleOps may give written notice of non-renewal to Customer at least thirty (30) days before the end of the relevant subscription term.
11.2. Termination for Cause. A party may terminate the agreement governed by these Terms of Use for cause upon 30 days’ written notice to the other party of a material breach if such breach remains uncured at the expiration of such period. Notwithstanding the foregoing, you agree that SingleOps may, in its sole discretion, without prior notice and to the extent applicable, terminate your access to the Services and/or block your future access to the Services if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Services. You also agree that any violation by you of these Terms of Use will cause irreparable harm to SingleOps for which monetary damages would be inadequate, and you consent to SingleOps obtaining any injunctive or equitable relief that SingleOps deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies SingleOps may have at law or in equity.
11.3. Termination for Insolvency. SingleOps may terminate the agreement governed by these Terms of Use if You become the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation, or assignment for the benefit of creditors.
11.4. Payment upon Termination. If the agreement governed by these Terms of Use is terminated by us in accordance with Section 11.3, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms. In no event will termination relieve Customer of Customer’s obligation to pay any fees payable to SingleOps for the period prior to the effective date of termination.
11.5. Customer Data Portability and Deletion. Upon request by Customer made within 30 days after the effective date of termination or expiration of the agreement governed by these Terms of Use, we will make Customer Data available to you for export or download as provided in the Documentation.
